01About these terms

These terms govern your use of kuzub.co.uk and of every page and file published under it (the Website). The Website is run by KUZUB LTD, which these terms call we, us and our.

KUZUB LTD is a private limited company registered in Scotland with company number SC890997. Its registered office is at Suite 2/3, 48 West George Street, Glasgow G2 1BP, United Kingdom.

By using the Website you accept these terms. If you do not accept them, do not use the Website.

These terms cover the Website only. Our products are provided under their own terms, not these; the terms of Caldaia Studio, for example, are at caldaiastudio.com/legal/terms. Nothing on the Website changes the terms of any product. How we handle personal data is explained in the privacy notice at kuzub.co.uk/privacy, the cookie policy at kuzub.co.uk/cookies and, for candidates, the candidate privacy notice at kuzub.co.uk/careers-privacy.

In these terms, you are a consumer if you are an individual using the Website wholly or mainly outside your trade, business, craft or profession, and a business user otherwise.

02The Website is information, not an offer

The Website describes KUZUB LTD and its products. Its content is not an offer, and no contract for any product or service is made through it. A contract with KUZUB LTD is made only by accepting the terms of the product concerned or by signing a written agreement with KUZUB LTD. Sending a message through the Website does not create a contract or oblige us to supply anything.

Each product is described in its final form; every KUZUB product is in active development, fully or partially, and some of what we describe is not yet available to every user. Dates for products that are not released are not promised.

The Website states no prices. Where a product is sold, its plans, prices and terms of sale are set out with that product.

03No professional advice

The Website gives general information about KUZUB LTD and its software. It is not engineering, design, construction, legal, financial, tax or other professional advice, and you must not rely on it as if it were.

KUZUB LTD makes software. Its products help qualified people do their work; they do not replace those people's professional judgement, and responsibility for any design, calculation, decision or work stays with the people and organisations who carry it out.

References on the Website to standards, codes, regulations, programmes and other organisations identify them. Unless the Website says so expressly, a reference does not mean that the organisation concerned has approved, certified or endorsed KUZUB LTD or its products.

Figures on the Website are given as at the date, or on the basis, stated with them. Where no date is stated, a figure may have changed since the page was published.

04Intellectual property

We own, or use under licence, the intellectual property in the Website and its content, including its text, images, drawings, product visuals, design and layout, and the software that runs it. Open-source software used in the Website remains under its own licence, as listed at kuzub.co.uk/legal.

The KUZUB name, the Cascade mark and the KUZUB wordmark are marks of KUZUB LTD, and the product names on the Website are names KUZUB LTD uses for its products. You may refer to KUZUB LTD and its products by name. Without our written permission, you may not use these marks and names as, or as part of, a trade mark or a business, product or domain name, or in any way that suggests a connection with KUZUB LTD, or an endorsement by it, that does not exist. You must not alter the marks or combine them with another name or mark.

Where we publish content under an open licence, the licence is stated with that content and governs its use.

If you send us an idea or a suggestion about the Website or our products, you give KUZUB LTD a non-exclusive, worldwide, perpetual, irrevocable and royalty-free licence, with the right to sublicense, to use it for any purpose without payment or other obligation to you. This does not apply to anything you send us in an application for work, through the talent-network form or in a recruitment task, which remains yours and is handled as the candidate privacy notice at kuzub.co.uk/careers-privacy describes. It does not apply to anything you send us under a separate written agreement with KUZUB LTD either; that agreement governs.

Please do not send us confidential information through the Website. Information sent through the Website's forms does not, by being sent, place us under a duty of confidence, except where one of our policies promises to keep a report confidential, such as a report of a security vulnerability. This does not affect our duties under data protection law.

05Using the Website

You may view the Website, download or print its pages for your own information or for your organisation's internal use, share links to it, and quote short extracts with an acknowledgement of KUZUB LTD as the source, provided the extract is accurate and not misleading.

You must not copy, republish or distribute the Website's content, or any substantial part of it, except as these terms allow. You must not remove or change any copyright or trade mark notice. You must not use the Website unlawfully or for fraud.

You must not send unlawful, abusive or deceptive messages, or unsolicited advertising, through its forms, or collect email addresses or other contact details from the Website to send unsolicited messages. You must not try to gain unauthorised access to the Website, to the systems that run it or to any data connected to it. You must not attack the Website with a denial-of-service attack, malicious code or any similar means.

Security research that follows the policy published at kuzub.co.uk/security is not a breach of these terms.

06Automated access

You may access the Website with crawlers, robots, scrapers or other automated tools only as our robots.txt file at kuzub.co.uk/robots.txt allows for the tool's user agent at the time of access. An automated tool must identify itself truthfully by its user agent, must not bypass any access restriction, limit or security measure, must not send the Website's forms, and must not access the Website at a rate that impairs it for anyone else.

Search engines and artificial intelligence services whose crawlers our robots.txt allows may index the Website, show and quote its content in their results and answers, and use the content that KUZUB LTD owns to train their models, within what robots.txt and the robots meta tags on each page allow. This permission does not cover names, logos, trade marks, images and other material that belong to others, such as our partners' logos and manufacturers' product data, or photographs of people. It is not given to any person or entity in Russia or Belarus or named on a sanctions list referred to at kuzub.co.uk/legal. Any other use of content collected by automated means is governed by the rest of these terms.

07Links

You may link to any page of the Website, provided you do so fairly and lawfully and do not suggest a connection with KUZUB LTD, or an endorsement by it, that does not exist. You must not display the Website within a frame on another site. If we ask you to remove a link that does not meet these conditions, you must remove it.

The Website links to websites run by others, such as public registers and the websites of our partners. We do not control them, and we are not responsible for their content, their availability or the way they handle personal data. A link to another website is not an endorsement of it. The websites of our products, such as caldaiastudio.com, have their own terms.

08Availability and changes to the Website

We may change, suspend or withdraw the Website or any part of it at any time. We may restrict access to the Website from particular places, or by particular users or tools, including where the law requires it or where these terms are broken.

We do not promise that the Website or its content will always be available, complete, up to date or free from errors, or that the Website is free from viruses or other harmful code. Use your own protection when you use any website.

09Our liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct, or for anything else that the law does not allow to be excluded or limited. Nothing in these terms limits any right you have under data protection law.

If you are a business user, we are not liable to you for any loss arising from your use of, or reliance on, the Website or its content; for any loss of profit, revenue, business, contracts, anticipated savings, goodwill or data; or for any indirect or consequential loss. Our total liability to you for all claims arising out of or in connection with the Website or these terms is limited to £1,000.

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these terms or of our negligence. Loss or damage is foreseeable if it is obvious that it will happen, or if you and we both knew it might happen when you used the Website. We are not responsible for loss or damage that is not foreseeable. We provide the Website for information only, and we are not liable to you for any loss of profit, business, business opportunity or business interruption. Nothing in these terms affects your legal rights as a consumer.

10Changes to these terms

We may revise these terms by publishing a new version on this page, with its date at the top. The version published when you use the Website applies to that use, and a revision never applies to anything that happened before it was published. This is version 1, the first version published by KUZUB LTD.

11General

If a court decides that any part of these terms is invalid or unenforceable, the rest of these terms remains in force.

If we do not insist on a part of these terms immediately, or do not enforce it, we can still insist on it or enforce it later.

No one other than you and KUZUB LTD has any right to enforce these terms.

These terms are written in English, and only the English version applies.

12Governing law and courts

These terms and any dispute or claim arising out of or in connection with them or with your use of the Website, including non-contractual disputes or claims, are governed by the law of Scotland, and the courts of Scotland have exclusive jurisdiction, except that nothing in these terms takes away any mandatory protection you have under the law of the country where you live if you use the Website as a consumer. If you use the Website as a consumer, you may also bring proceedings in the courts of the part of the United Kingdom, or of the country, where you live.
